Article I. Number of Church Officers
Pursuant to the provisions of the Constitution, there shall be nine Elders, twenty-one Deacons, a President of the Membership and Chairman of the Church Board, a Church Clerk, a Treasurer, a Financial Secretary, three trustees, and a Superintendent of the Church School.

Article II. Duties fo Church Officers

Section I. ELDERS

a. The Elders shall: encourage the deepening of the spiritual life of the members of the Church; serve at the table during observance of the Lord's Supper; serve asmembers of the Board; counsel with the minister regarding the growth and spiritual welfare of the Church; serve as the shepherding leader. of a flock, serve on one or more of the functional departments, and such other duties as may be in
keeping with the office.

b. The Elders shall elect one of their number to serve as Chairman of the Elders for the church year.

Section II. DEACONS

a. The Deacons shall be composed of members of the congregation who commit themselves to service by: assisting in worship services; specifically preparing and serving communion, and receiving offerings; assisting the minister and elders in promoting the growth and welfare of the church, serving as members of the board; serving on one or more of the functional departments; and accepting responsibilities as requested by the church board.

b. The Deacons shall elect one of their number to serve as their chairman for the church year.

Section III. PRESIDENT OF THE MEMBERSHIP AND CHAIRMAN OF THE BOARD

The same individual shall serve as President of the Membership and as Chairman of the Church Board. The President of the Membership and Chairman of the Church Board shall preside at the business meetings of the membership and at the meetings of the Board and be the Chief Administrator of the Church; shall call meetings of the membership of the Church upon the direction of the Board, and upon the petition of members as set forth in the constitution; may at any time call a special meeting of the Board and shall call such a meeting upon the written request of five members of the Board.

Section IV. CHURCH CLERK

The Church Clerk shall: keep the minutes of the membership meetings; maintain an up to date membership roll of the Church; and serve as the historian of the church.

Section V. TREASURER

The Treasurer shall: account for funds as may be contributed from all sources; keep separate records of funds received for and disbursed from the regular and any special accounts; make disbursements from the accounts in accordance with the adopted budget and other disbursements as may be directed by the Board and submit the financial records to the Auditing committee at the close of the Church
year.

Section VI. FINANCIAL SECRETARY

The Financial Secretary shall keep a confidential record of the financial
commitments and amounts contributed by each member, or family as the case may be, and send quarterly statements to all members, or families, who have made financial commitments or contributions.

Section VII. SUPERINTENDENT OF THE CHURCH SCHOOL

The Superintendent of the Church School shall be the chief administrator of the Church School.

Article III. Organization of the Church Board

SECTION I.
The voting members of the Board shall be the Elders and Deacons as set forth in the Constitution.

SECTION II.
The following persons shall attend the meetings of the Board. make reports to the Board, and have the privilege of discussion but not have the power to vote unless they are an Elder or a Deacon.

a. The Minister
b. The Church Treasurer
c. The Chairman of the Offering Committee
d. The Superintendent of the Church School
e. The Chairmen of the Functional Departments
f. A representative chosen by the Christian Youth Fellowship
g. A representative chosen by the Christian Women's Fellowship
h. A representative chosen by the Christian Men's Fellowship
i. The Church Clerk
j. The Financial Secretary
k. The District Representative(s)
l. The Chairmen of the regular and special committees.

SECTION III. OFFICERS OF THE BOARD

The chairman is elected by the membership as set forth in the Constitution.. The Board at its first meeting in each church year shall elect a Vice Chairman and a Secretary. The Board officers shall serve for the church year or until their successors are elected.

SECTION IV. MEETINGS
The Board shall hold such meetings as it deems necessary.

SECTION V. QUORUM
A majority of the voting members of the Board shall constitute a quorum.

SECTION VI. PROCEDURE
Robert's Rules of Order shall be the Parliamentary authority for the proceedings of the Board.

Article IV. Duties of the Officers of the Board

SECTION I. CHAIRMAN
The duties are set forth in these By-Laws under the Article "Duties of Church Officers."

SECTION II. VICE CHAIRMAN
Act in the absence or inability of the Chairman to serve as the coordinator of the Cabinet.

SECTION III. SECRETARY
Keep the minutes of Board meetings, serve as custodian of all records of the Board, and perform such other duties as may be in keeping with the office.

Article V. Functional Departments, Committees and Organizations

SECTION I. FUNCTIONAL DEPARTMENTS

The work of the Church shall be planned, guided, and executed by the following functional departments under the general supervision and direction of the Church Board.

a. Christian Education
b. Evangelism
c. Membership Development
d. Property (building)
e. Property (grounds )
f. Stewardship (including finance and budgets)
g. World Outreach
h. Worship and Devotional Life
i. Church in Society
j. Health Ministry

The chairpersons of the Departments shall constitute the Cabinet. The Cabinet shall hold an overall joint planning session at the beginning of the Church year and shall hold regular meetings which alternate with the regular Board meetings. The chairman and personnel of the
departments shall be selected annually in the manner detem1ined by the Board.

SECTION II. REGULAR COMMlTTEES

The following committees shall constitute the regular committees of the Church.

a. Nominating Committee
The committee shall be selected by the Board in January and serve for the Church year. The committee shall submit to the board not later than its November meeting a list of nominations for church officers and for members of the Offering Committee to serve for the ensuing Church year. The Board shall send its recommendations to the membership at least one week before the annual meeting. During the year, the Nominating Committee shall recommend to the Board
persons to fill any interim vacancies which may occur in the elected church offices.

b. Offering Committee
The Offering Committee shall be elected by .the membership at the annual meeting and shall serve for the ensuing Church year. The committee shall count, record and deposit the various offerings received. The offering envelopes with notation thereon as to the amounts removed therefrom shall be turned over to the Financial secretary with a tabulation of the funds received from the various
sources.

c. Auditing Committee
An Auditor or Auditing Committee shall be selected by the Board not later than its November meeting to audit the accounts of the Treasurer and the Offering Committee. The report of the Auditor or Auditing Committee shall be made to the Board within ninety days following the close of the church year. Interim audits may be made at the discretion of the Board.

SECTION III.
The Board shall have the power to establish additional functional departments, regular committees, and special committees.

SECTION IV.
Other groups or organizations to meet the needs of the church may be established under the general supervision of the Board.

Article VI. Budget and Finance

SECTION I.
The financial requirements of the Church and its various organizations and departments for the Church year shall be included in the annual church budget, which shall include estimates of income by sources as well as the expenses. The budget shall be proposed by the Stewardship Department and shall be approved by the Board prior to submission to the congregation. Special solicitations shall not be made nor special offerings taken unless provided for in the budget or otherwise approved by the Board.

SECTION II.
All funds received by the church, including its organizations, shall be turned over to the Offering Committee and reported by it to the Treasurer.

SECTION III.
All obligations for each organization and department, when included in the budget or otherwise approved by the Board. shall be paid by the Treasurer as funds are available.

Article VII. Church Year
The year of the Church and its related organizations shall begin on
January 1 and end on December 31.

Article VIII. Reports
Written reports shall be prepared two weeks prior to the Board meetings, the annual meeting by the minister, church officers, departments, committees and organizations. These reports shall be distributed prior to the meetings.

Article IX. Amendments to the By-Laws
These By-Laws may be amended at any meeting of the Church
membership by a two-thirds vote of those members present and voting, provided written notice as to the date of the membership meeting and the wording of the proposed amendments(s) to be voted upon are sent to the members at least one week prior to the date of the meeting.

Article X. Distribution of the By-Laws
A copy of the By-Laws and any amendments not contained therein shall be made available to members of the Church.
